These Organizer Terms & Conditions (the "Terms") govern the contractual relationship between Outzone Sagl and any person or entity using the Outzone platform as an event organizer (the "Organizer"). These Terms govern a business-to-business (B2B) relationship and apply in addition to — and not in place of — the Terms of Use applicable to all users of the Platform.
In the event of any discrepancy between the Italian and English versions of these Terms, the Italian version prevails.
1. Preamble and scope
1.1 These Terms govern event publishing, promotion, ticketing, attendee-community management and any other function made available to the Organizer through the Platform.
1.2 Acceptance of these Terms is a condition for registering as an Organizer and publishing events. Stripe onboarding is required only for Events where the Organizer is the seller (Section 4).
1.3 In the event of a conflict between these Terms and any specific agreement signed in writing between the parties, the specific agreement prevails as to the conflicting clauses.
2. Definitions
- "Platform": the Outzone mobile application and website, including all technology services offered.
- "Organizer": any person or entity registered on the Platform to publish and manage events and sell tickets.
- "Event": any activity, show or initiative published by the Organizer on the Platform.
- "User" / "Buyer": the natural person registered on the Platform who attends events and/or buys tickets.
- "Ticket": a digital admission title to an Event sold through the Platform.
- "Plan": one of the Organizer subscription tiers (Free, Standard, Pro — Section 5).
- "Service fee": the net amount charged by Outzone in consideration of its technology and payment-facilitation services (6.9% of the net Ticket price + CHF 0.50 net per Ticket), to which Outzone VAT applies.
- "Stripe Connect": the Stripe solution used when the Organizer is seller for KYC/AML onboarding, payment processing and payouts (Sections 4 and 7).
- "Merchant of record" / "seller": the Organizer under an Organizer sale, or Outzone Sagl under an Outzone-managed sale, as identified for the individual Event (Section 7).
- "Payout": the transfer of funds from the Organizer's Stripe account to its bank account, on Stripe's schedule.
- "Aggregated analytics": aggregated, anonymized statistics on the sales and audience demographics of the Organizer's own Events (Section 8).
- "Paid-ticketing verification": Outzone's manual approval (
paid_ticketing_verified) required together with Stripe KYC for Organizer sales; an Outzone-managed sale is instead enabled by an administrator for the individual Event (Section 4).
3. Nature of the service and Outzone's role
3.1 Outzone provides the Organizer with a technology intermediation platform for event promotion, ticket sales and attendee-community management. Outzone is not the organizer of the Events and assumes no responsibility for their planning, organization, conduct, quality, safety, regulatory compliance or cancellation.
3.2 The seller is identified for each Event. Under an Organizer sale, the ticket contract is formed directly between Organizer and Buyer. Under an Outzone-managed sale, Outzone Sagl sells the Ticket and receives its price, while the Organizer remains responsible for organizing and delivering the Event.
3.3 Under an Organizer sale, funds flow to the Organizer's Stripe account and Outzone retains the Service fee. Under an Outzone-managed sale, funds flow to Outzone's Stripe account and remain entirely with Outzone as seller; they are not held in escrow or on behalf of the Organizer. Any consideration paid to the Organizer arises solely from a separate B2B relationship and an ordinary invoice from the Organizer to Outzone.
4. Registration, KYC and Stripe onboarding
4.1 Organizer eligibility
The following may register as Organizers:
- duly incorporated legal entities registered with the competent registers (corporations, partnerships, associations, foundations);
- natural persons of legal age holding a VAT number or equivalent, or persons organizing Events in accordance with applicable local law;
- public bodies, schools, universities and other duly constituted organizations.
The Organizer must operate in compliance with all laws applicable to its activity, including administrative authorizations, licences, public-entertainment permits, tax and social-security rules, and labour and workplace-safety rules.
4.2 Stripe Connect onboarding for Organizer sales
4.2.1 For Organizer-sale Events, selling Tickets requires completing onboarding of a Stripe Connect account. Stripe runs the process, including payout details and required KYC/AML checks. This onboarding is not required for an Outzone-managed Event.
4.2.2 The Organizer accepts the Stripe Terms of Service applicable to Connect accounts, available at stripe.com, and provides the required documentation directly to Stripe. Outzone does not access the Organizer's KYC/AML documentation, which remains exclusively managed by Stripe; our systems store only the connected Stripe account identifier and related metadata.
4.2.3 Successful Stripe onboarding is required to receive payouts and sell under the Organizer-sale model. It grants no right to have an Event enabled for Outzone-managed sale.
4.3 Paid-ticketing verification (gate)
4.3.1 Organizer sales require, in addition to Stripe onboarding, paid-ticketing verification (paid_ticketing_verified). Alternatively, Outzone may at its discretion enable an individual Event for Outzone-managed sale following commercial, tax and risk checks.
4.3.2 Until verification or administrative enablement of the individual Event, the Organizer may publish Events and manage free Tickets, but may not sell paid Tickets.
4.3.3 Outzone may suspend or revoke the verification in case of subsequent non-compliance, significant User complaints, fraud suspicion or breach of these Terms, with the statement of reasons and notice set out in Section 14.
4.3.4 The sales model is visible in the Organizer dashboard. To preserve accounting consistency and buyer expectations, it cannot be changed after the Event's first paid sale.
4.4 Approval and suspension
Outzone may, in its reasonable discretion, approve, refuse or suspend an Organizer's registration in case of suspected unlawful or fraudulent activity, reputational risk or non-compliance with these Terms, providing a statement of reasons and the notice set out in Section 14 (save for the urgency cases set out therein).
5. Subscription plans
5.1 Plan structure
Outzone offers three subscription Plans, managed through Stripe:

The added value of higher Plans lies in the included features, not in a discount on the Service fee, which is uniform across all Plans.
5.1.1 Members and invitations. On all Plans the Organizer may invite members to manage its organization. There is no paid seat cap.
5.2 Auto-renewal and cancellation
5.2.1 Paid Plans renew automatically at the end of the subscribed period unless cancelled by the Organizer. Renewal is charged to the payment method on file with Stripe.
5.2.2 The Organizer may cancel auto-renewal at any time from the subscription-management area. Cancellation takes effect at the end of the period already paid: the service remains active until expiry, with no pro-rata refund.
5.3 Failed payment
If recurring payment fails, Stripe makes the retry attempts provided by its own procedure. On failure, the Plan is suspended and the account is downgraded to the Free Plan; already-published Events remain online and operational (to protect Users who bought Tickets), while premium features are disabled. The Organizer may reactivate the Plan by updating the payment method.
5.4 Trial period
Where offered, any free trial period is managed through Stripe. At the end of the trial, absent cancellation, the Plan activates automatically with a charge.
5.5 Price and Plan changes
Outzone may change Plan prices and features on at least 30 days' written notice, via the Platform or by email. Changes apply from the next renewal. If the Organizer does not accept them, it may cancel auto-renewal (Section 5.2).
5.6 Subscription refunds
Amounts paid for paid Plans are non-refundable in case of early cancellation or non-use, save for a different decision by Outzone or mandatory law.
6. Publishing and managing Events
6.1 Organizer responsibility
The Organizer is solely responsible for the content published in relation to its Events (descriptions, images, prices, attendance conditions, refund policies) and warrants that:
- all information provided is true, accurate, complete and not misleading;
- it holds all rights, authorizations, licences, permits and consents necessary to organize the Event and to use the uploaded content (including IP rights in images, text, trademarks, music);
- the Event is conducted in compliance with applicable laws (safety, authorizations, food and beverage service, public events, protection of minors, copyright, data protection);
- it holds adequate civil-liability insurance for the Event.
6.2 Prohibited content
Publishing Events or content is prohibited where it breaches the law; promotes violence, hatred, discrimination, terrorism or unlawful activity; is pornographic, obscene or unsuitable for minors (save for explicit classification and age restriction); infringes third-party IP or image rights; constitutes unfair or misleading commercial practices; or concerns products or services not permitted by law. The Community Guidelines apply, including the notice-and-action mechanism.
6.3 Event age restriction
The Organizer may set a minimum age (min_age) for an Event. In that case the Platform applies an age check at purchase, preventing purchase by anyone who does not meet the requirement.
6.4 Event changes and cancellation — the real refund policy
6.4.1 The Organizer undertakes to promptly communicate, via the Platform, any change or cancellation of the Event (change of date, location, programme or cancellation). The Platform may send push and/or email notifications to affected Users; notices affecting Users' rights are anchored to email.
6.4.2 14-day freeze on substantial changes. From 14 days before the Event date, the Platform technically blocks substantial changes (date, location, headline act). Within this window, the only option for a substantial change is to cancel the Event, which triggers an automatic refund to buyers.
6.4.3 Event cancellation. Cancelling an Event triggers an automatic refund of the Ticket price to buyers.
6.4.4 Manual refunds. Outside the automatic cases, the Organizer may initiate manual refunds to buyers through the Platform/Stripe tools.
6.4.5 Buyer complaints. Buyers may file a complaint about a purchase through the dedicated reporting flow (purchase_reports); the Organizer cooperates in handling them.
6.4.6 The Organizer must maintain a lawful, transparent and non-abusive refund and cancellation policy toward consumers, consistent with the Ticket Sale & Refund Terms, and must process due refunds within a reasonable time.
7. Payments, fees and sales model
7.1 Service fee
For an Organizer sale, for each Ticket sold whose price is stated net of VAT, Outzone charges a net Service fee equal to 6.9% of the net Ticket price + CHF 0.50 net per Ticket, taken as an application fee. Outzone applies 8.1% VAT to the entire net Service fee, including both the percentage component and the fixed amount.
For an Outzone-managed sale, Outzone collects the price from the Buyer and bears Stripe's fees; any B2B consideration for the Organizer is governed solely by the commercial agreement and corresponding invoice. Outzone may change its fees on at least 30 days' written notice; if the Organizer does not accept them, it may terminate within that period.
7.2 Payment models
7.2.1 Organizer sale. The charge is associated with the Organizer's Stripe Connect account. The Organizer is seller and merchant of record, appears on the card statement, receives funds net of applicable charges and receives from Stripe the Buyer name linked to payment. Outzone retains its application fee.
7.2.2 Outzone-managed sale. The charge is made on Outzone's Stripe account. Outzone Sagl is seller and merchant of record, appears on the card statement as OUTZONE, retains all proceeds and assumes buyer-facing refunds, disputes and chargebacks. The Organizer receives no payout for the individual sale and has no claim over those proceeds; any consideration arises under the separate B2B relationship.
7.3 Payouts
Payouts apply only to Organizer sales and follow the Stripe schedule of the connected account. For an Outzone-managed sale, the dashboard shows receipts for information but offers no balance, payout or KYC controls; B2B payment occurs outside the payout system against an ordinary invoice.
7.4 Refunds, disputes and chargebacks
7.4.1 The Organizer is always responsible for delivery of the Event and for providing lawful Event and refund/cancellation information. Economic responsibility for refunds, disputes and chargebacks lies with the merchant of record: the Organizer for an Organizer sale and Outzone for an Outzone-managed sale, without prejudice to B2B obligations agreed between the parties.
7.4.2 For an Organizer sale, the chargeback and related loss fall on its Stripe account and may entail reversal of platform fees. For an Outzone-managed sale, the chargeback falls on Outzone's account and creates no transfer reversal or automatic debit to the Organizer. In either case the Organizer cooperates by supplying evidence that the Event was properly delivered.
7.4.3 Withhold, set-off and recovery rights. To the extent permitted by law and by the applicable model, Outzone may withhold, set off or recover amounts actually owed by the Organizer. For Outzone-managed sales these rights concern only obligations under the B2B agreement and do not turn Buyer proceeds into funds held on behalf of the Organizer.
8. Aggregated analytics
8.1 Organizers are given aggregated analytics on their own Events, limited to:
- sales performance of the Organizer's Event (e.g. GMV, ticket count, orders, conversion rate), aggregated and without individual buyers' personal data;
- demographic composition (age bands and gender) of the Organizer's Event ticket holders and participants.
8.2 k=5 anonymization threshold. Demographic statistics are anonymized with a k=5 threshold: no category is shown if based on fewer than 5 people, to prevent individual re-identification.
8.3 The Organizer undertakes to use such analytics solely for its own internal planning and optimization purposes, and not to attempt to re-identify individual Users, nor to transfer or resell the data to third parties.
8.4 Upcoming features. Location-based footfall analytics (e.g. aggregated flows and attendance near the Event venue) are planned but not yet active; they will be generated solely from data collected with the Users' explicit opt-in consent and always in aggregated, anonymized form (k=5 threshold), and will be made available to Organizers only when the feature launches.
9. Consumer right of withdrawal — carve-out for dated Events
9.1 Tickets for Events with a fixed date or period are services related to leisure activities on a specific date and, as such, are not subject to the 14-day right of withdrawal for EU consumer distance contracts (Art. 16(l), Directive 2011/83/EU; see CJEU C-96/21, CTS Eventim). In Switzerland there is no general right of withdrawal for distance/online purchases.
9.2 The Organizer undertakes to reflect this regime correctly in its own sales policy and not to lead the buyer to believe a right of withdrawal exists where it does not. Any voluntary refund policy and any mandatory consumer right remain unaffected.
10. Price and VAT transparency
10.1 The Organizer must ensure that, before the binding moment of purchase, the buyer is shown the total price in CHF, inclusive of VAT and of any non-optional cost (including any fees), in compliance with Swiss price-indication rules (OIP/PBV) and EU pre-contractual information rules, and that the purchase flow contains an explicit obligation-to-pay button.
10.2 For Organizer sales, the Organizer is responsible for VAT and taxes on Ticket sales. For Outzone-managed sales, Outzone assumes tax obligations for the consumer sale and the Organizer remains responsible for the correct tax treatment of any B2B invoice. Enabling the model requires an Event-specific tax review. Outzone is registered for Swiss VAT (no. CHE-251.077.155 IVA).
11. Personal data — independent controllers and DPA
11.1 In relation to buyers' personal data, Outzone and the Organizer act as independent controllers, each for its own purposes. For Organizer sales, the Organizer also receives from Stripe the payment-linked name. For Outzone-managed sales, the Organizer receives no payment data from Stripe and receives from the Platform only data needed to run the Event and admit attendees.
11.2 The Organizer processes the data received through the Platform in compliance with the Swiss FADP and, where applicable, the GDPR, solely for purposes connected to managing the Event. Use for marketing purposes without the Users' specific consent is prohibited, as are transfer to third parties or cross-matching with external databases.
11.3 The detailed processing arrangements, the list of sub-processors, the cross-border transfer mechanisms (DPF/SCC + Swiss addendum), retention periods, allocation of data-subject rights and breach cooperation are governed by the Data Processing Agreement (DPA), which forms an annex to these Terms. Outzone's processing of user data is described in the Privacy Policy.
11.4 The Organizer indemnifies Outzone against any claim or sanction arising from unlawful or non-compliant processing of personal data by the Organizer.
12. Platform duties — P2B transparency, ranking and trader identification (DSA)
12.1 Ranking and visibility parameters (P2B). The visibility and ranking of Events on the Platform (feed, search, discovery sections) depend mainly on relevance to the user (interests, follows, saves, attendance, proximity of the Event venue) and on the quality and completeness of the Event information. Outzone does not currently offer paid placement ("boost"/placement) that influences ranking. Should such products be introduced, we will transparently disclose them in these Terms.
12.2 Statement of reasons. In case of restriction, suspension or termination of the service against the Organizer, Outzone provides a statement of reasons of the relevant facts or circumstances (save where law or security/anti-fraud needs prevent it).
12.3 Termination notice. Save in cases of urgency, manifest illegality, fraud or repeated breach, termination of the relationship by Outzone is communicated with at least 30 days' notice (Section 14).
12.4 Changes to the Terms. Changes to these Terms are communicated with reasonable notice (Section 19.1).
12.5 Trader identification (DSA). The Organizer must keep accurate identification information. Its identity as Event operator is always disclosed to Buyers; its identity as seller is shown only for Organizer sales. For Outzone-managed sales, checkout identifies Outzone Sagl as seller and the Organizer as Event operator.
13. Exclusivity, price parity and anti-touting
13.1 Outzone does not require exclusivity. The Organizer may sell the same Event on other platforms, provided information remains consistent and accurate.
13.2 The Organizer undertakes not to itself resell Tickets above the published prices (self-touting), not to facilitate unauthorized resale by third parties, and to report to Outzone any suspected fraudulent resale of its Tickets.
14. Suspension and termination
14.1 Outzone may suspend the account, remove Events or terminate the relationship in case of: breach of these Terms; suspected fraudulent, unlawful or money-laundering activity (including as flagged by Stripe); a significant number of complaints or chargebacks; non-payment of amounts due; insolvency proceedings against the Organizer; reasoned requests by authorities; suspension or closure of the Stripe Connect account.
14.2 As a rule, termination is preceded by a statement of reasons and at least 30 days' notice (Section 12). In cases of urgency — manifest illegality, fraud, risk to Users or the Platform, or an authority order — suspension/termination may take immediate effect, with reasons provided as soon as possible.
14.3 Termination ends Event publishing and blocks the account, without prejudice to the Organizer's full obligations to refund and to handle disputes toward buyers. Either party may terminate on 30 days' written notice, subject to pending obligations on already-published Events and already-sold Tickets.
15. Intellectual property and content licence
15.1 All intellectual-property rights in the Platform and Outzone's technology remain the exclusive property of Outzone Sagl.
15.2 The Organizer retains ownership of the content it uploads and grants Outzone a non-exclusive, royalty-free, worldwide and sublicensable licence to use, reproduce, adapt, publish and display such content solely for the purposes of operating, promoting and marketing the Platform and the published Events. The Organizer warrants that it holds the necessary rights and indemnifies Outzone against third-party claims in this respect.
16. Limitation of liability and indemnity
16.1 Limitation of liability
To the extent permitted by law, Outzone is not liable for the commercial failure of an Event; for damage from technical malfunctions, interruptions, data loss or force majeure; for the conduct of Users or third parties; for indirect damage, loss of profit or reputational harm; for services provided by third parties (Stripe, hosting, technology vendors); or for Stripe's decisions on suspensions, fund holds, chargebacks or closure of the Connect account. Save for intent or gross negligence, Outzone's aggregate liability to the Organizer is limited to the amount of Service fees actually received by Outzone from the Organizer in the 12 months preceding the damaging event.
Nothing is excluded or limited in respect of: liability for intent or gross negligence, for harm to life, bodily integrity or health, and any other liability that cannot be excluded under mandatory law.
16.2 Indemnity
The Organizer indemnifies and holds Outzone harmless (including its directors, employees and collaborators) against any claim, action, sanction, damage and cost (including reasonable legal fees) brought by Users, third parties or authorities in relation to: the conduct, organization or cancellation of the Event; breach of these Terms, of laws or of third-party rights; uploaded content; the Organizer's processing of personal data; complaints, chargebacks or refund requests by Users.
17. Confidentiality
The Organizer keeps confidential the commercial, technical, financial and operational information of Outzone to which it has access, and does not use it for purposes other than performing the contract. The obligation survives for 5 years after the relationship ends.
18. Hosting and data residency
Platform data is hosted in Switzerland at Infomaniak (with object storage on self-hosted MinIO and backups in Switzerland). Some vendors (e.g. Stripe, Resend, Meta) also process data outside Switzerland; the transfer mechanisms are described in the Privacy Policy and the DPA.
19. Final provisions
19.1 Changes to the Terms. Outzone may amend these Terms on notice, communicated via the Platform or by email. If the Organizer does not accept the changes, it may terminate within the notice period.
19.2 Force majeure. Neither party is liable for failures due to force majeure.
19.3 Assignment. The Organizer may not assign the contract without Outzone's prior written consent. Outzone may assign it to group companies or in the context of corporate reorganizations.
19.4 Waiver and partial invalidity. Tolerance is not a waiver. The invalidity of one clause does not invalidate the whole contract; an invalid clause is replaced by a valid one of similar purpose.
19.5 Notices. Notices to Outzone are to be sent to: Outzone Sagl, Via Grumo 31, 6929 Gravesano, or to info@outzone.app. Notices to the Organizer are given via the Platform or to the registered email address.
20. Governing law and jurisdiction
These Terms are governed by Swiss law, excluding conflict-of-law rules. The courts of Lugano (Switzerland) have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer-protection provisions applicable to an Organizer who is a consumer natural person.
